OVERVIEW Welcome to Focal Point Jewellery! The terms “we”, “us” and “our” refer to Focal Point Jewellery. Focal Point Jewellery operates this store and website. By visiting our site or purchasing from us, you agree to be bound by these Terms of Service. PLEASE READ THESE TERMS CAREFULLY. IF YOU DO NOT AGREE TO ALL TERMS, YOU ARE PROHIBITED FROM ACCESSING THE SITE OR USING ANY SERVICES.
SECTION 1 - ACCESS AND ACCOUNT By agreeing to these Terms of Service, you represent that you are at least the age of majority in your province or territory of residence. You are solely responsible for maintaining the security of your account credentials and for all of your account activity.
SECTION 2 - OUR PRODUCTS We make every effort to provide an accurate representation of our products. However, colours or product appearance may differ due to device settings. WE DO NOT WARRANT THAT THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION PURCHASED BY YOU WILL MEET YOUR PERSONAL EXPECTATIONS.
SECTION 3 - ORDERS Focal Point Jewellery reserves the right to accept or decline your order for any reason. YOUR PURCHASES ARE SUBJECT TO RETURN OR EXCHANGE SOLELY IN ACCORDANCE WITH OUR REFUND POLICY, WHICH DISTINGUISHES BETWEEN FINAL SALE (MELEE) AND INSPECTION-PERIOD (SOLITAIRES) GOODS. UPON DELIVERY, YOU HAVE 24 HOURS TO REPORT ANY DISCREPANCIES OR DEFECTS. FAILURE TO REPORT WITHIN THIS WINDOW CONSTITUTES A FINAL ACCEPTANCE OF THE GOODS AS DELIVERED.
SECTION 4 - PRICES AND BILLING Prices are subject to change without notice. You represent and warrant that (i) the credit card information you provide is true and complete, and (ii) CHARGES INCURRED BY YOU WILL BE HONOURED BY YOUR CREDIT CARD COMPANY.
SECTION 5 - SHIPPING AND DELIVERY FOCAL POINT JEWELLERY OPERATES ON AN F.O.B. SHIPPING POINT BASIS. THIS MEANS THAT TITLE TO THE GOODS AND THE RISK OF LOSS PASSES TO YOU, THE CUSTOMER, THE MOMENT WE TRANSFER THE PRODUCTS TO THE CARRIER. ALL SHIPMENTS OF LOOSE DIAMONDS ARE SENT WITH A "DIRECT ADULT SIGNATURE REQUIRED" INSTRUCTION. YOU ACKNOWLEDGE THAT A SIGNATURE CAPTURED BY THE CARRIER AT THE DELIVERY ADDRESS PROVIDED IN YOUR ORDER IS CONCLUSIVE PROOF OF DELIVERY AND CONTRACT FULFILMENT.
SECTION 6 - INTELLECTUAL PROPERTY Our Services and all related content are owned by Focal Point Jewellery and are protected by copyright and other intellectual property laws. You must not reproduce, distribute, or modify any material without our prior written consent.
SECTION 7 - OPTIONAL TOOLS We may provide access to third-party tools which we neither monitor nor have control over. You acknowledge that we provide access to such tools “AS IS” and “AS AVAILABLE” without any warranties or endorsements.
SECTION 8 - THIRD-PARTY LINKS The Services may contain materials or hyperlinks to third-party websites. We are not responsible for examining the content or accuracy of any third-party materials. Use of these links is entirely at your own risk.
SECTION 9 - RELATIONSHIP WITH SHOPIFY Focal Point Jewellery is powered by Shopify. You acknowledge that Shopify is not responsible for any aspect of sales between you and Focal Point Jewellery. You hereby expressly release Shopify from all claims and liabilities arising from your transactions with us.
SECTION 10 - PRIVACY POLICY Your submission of personal information through the store is governed by our Privacy Policy. By using our Services, you acknowledge that you have read our Privacy Policy and that of our host, Shopify.
SECTION 11 - ORDER VERIFICATION AND SECURITY
Statutory Obligations: Focal Point Jewellery is a "Dealer in Precious Metals and Precious Stones" (DPMS) subject to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA) and overseen by FINTRAC. We are legally required to verify the identity of our clients for transactions reaching specific thresholds or where suspicious activity is identified.
Secure Data Collection via Treefort: To protect your sensitive data and ensure compliance with PIPEDA, all identity verification and "Know Your Client" (KYC) documentation is collected through Treefort, a secure, encrypted third-party platform. By placing an order or applying for a wholesale account, you consent to this verification process.
Beneficial Ownership: For corporate and entity-based clients, we are required to identify and verify "Beneficial Owners"—any individual who owns or controls 25% or more of the entity. Failure to disclose this information will result in an immediate cancellation of the transaction.
The 24-Hour Rule: Multiple transactions conducted within a 24-hour period that total $10,000 CAD or more will be treated as a single transaction for reporting purposes under federal law.
Right to Refuse: We reserve the right to cancel any order or terminate any relationship if the requested verification via Treefort is incomplete, suspicious, or if the individual/entity appears on any Canadian or international sanctions or PEP (Politically Exposed Persons) lists.
SECTION 12 - FEEDBACK If you submit reviews or feedback, you grant us a perpetual, worldwide licence to use, reproduce, and display such content in any medium for any purpose, including commercial use.
SECTION 13 - ERRORS, INACCURACIES AND OMISSIONS We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.
SECTION 14 - PROHIBITED USES You may not use the Services for any unlawful purpose, to infringe upon our intellectual property, or to harass, abuse, or mislead others. We reserve the right to terminate your account for any prohibited use.
SECTION 15 - TERMINATION We may terminate this agreement at our sole discretion at any time without notice. You remain liable for all amounts due up to and including the date of termination.
SECTION 16 - DISCLAIMER OF WARRANTIES EXCEPT AS EXPRESSLY STATED BY FOCAL POINT JEWELLERY, THE SERVICES AND ALL PRODUCTS ARE PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY REPRESENTATION, WARRANTIES OR CONDITIONS OF ANY KIND.
SECTION 17 - LIMITATION OF LIABILITY TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO CASE SHALL FOCAL POINT JEWELLERY, OUR DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND.
SECTION 18 - INDEMNIFICATION YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS FOCAL POINT JEWELLERY FROM ANY LOSSES, DAMAGES, LIABILITIES OR CLAIMS ARISING OUT OF YOUR BREACH OF THESE TERMS.
SECTION 19 - SEVERABILITY In the event that any provision of these Terms is determined to be unlawful or void, such provision shall nonetheless be enforceable to the fullest extent permitted by law.
SECTION 20 - WAIVER; ENTIRE AGREEMENT These Terms constitute the entire agreement between you and Focal Point Jewellery, superseding any prior agreements.
SECTION 21 - ASSIGNMENT You may not delegate or assign your rights under these Terms without our prior written consent.
SECTION 22 - GOVERNING LAW THESE TERMS OF SERVICE SHALL BE GOVERNED BY THE LAWS OF THE PROVINCE OF ONTARIO AND THE FEDERAL LAWS OF CANADA.
SECTION 23 - HEADINGS The headings used in this agreement are included for convenience only.
SECTION 24 - CHANGES TO TERMS OF SERVICE We reserve the right to update or replace any part of these Terms by posting updates to our website.
